- Introduction
GSTechnologies Limited (“the Company,” “we,” “us,” or “our”) is a Hong Kong-based provider of comprehensive information technology (IT) and information services, including IT consulting, custom software development, cloud solutions, cybersecurity, data analytics, network infrastructure, and digital content services. These Terms and Conditions (“Terms”) govern all engagements, purchases, and use of services provided by the Company to clients (“Client,” “you,” or “your”).
By placing an order, signing a Statement of Work (SOW), or otherwise engaging our services, you agree to be bound by these Terms, our Privacy Policy, and any referenced policies. These Terms constitute the entire agreement between the parties and supersede all prior discussions or representations.
- Scope of Services
The Company delivers professional IT and information services tailored to client needs, including but not limited to:
- IT strategy consulting and infrastructure assessment
- Custom software development (web, mobile, enterprise)
- Cloud migration, management, and optimization
- Cybersecurity risk assessments, monitoring, and incident response
- Data analytics, visualization, and predictive modeling
- Content creation, data management, and digital publishing
All services are performed remotely unless on-site work is explicitly agreed upon in writing.
- Quotations and Acceptance
- All quotations are valid for 30 days from the date of issue unless otherwise stated in writing.
- Prices are subject to change due to scope modifications, market conditions, or third-party cost fluctuations.
- Orders are only accepted upon written confirmation (including email) from an authorized representative of GSTechnologies Limited.
- A formal Statement of Work (SOW) or service agreement will be issued for all engagements, outlining scope, deliverables, timelines, and pricing.
- Pricing and Payment Terms
- Services are priced on a fixed-fee, time-and-materials, or subscription basis, as specified in the SOW.
- All prices are exclusive of applicable taxes (including VAT, GST, or Hong Kong profits tax), which will be added to invoices as required by law.
- Payment is due within 30 days of the invoice date unless otherwise agreed in writing.
- Late payments will incur interest at 1.5% per month (or the maximum rate permitted under Hong Kong law).
- The Company reserves the right to suspend services for overdue payments without liability.
- Travel and on-site expenses, if applicable, require pre-approval and will be invoiced at actual cost plus 10% administrative fee.
- Delivery of Services
- Services are delivered remotely unless on-site presence is contractually agreed.
- Software, reports, and digital assets are delivered electronically via secure transfer or client-accessible repositories in mutually agreed formats.
- Project timelines in the SOW are estimates based on timely Client input and approvals. Delays caused by the Client (e.g., late feedback, incomplete requirements) will extend delivery dates accordingly.
- The Company uses commercially reasonable efforts to meet deadlines but does not guarantee exact delivery dates unless explicitly designated as “time-critical” in writing.
- Clients have 10 business days from delivery to request minor corrections within the original scope. Major changes require a formal change request and may affect cost and schedule.
- Intellectual Property
- Pre-existing intellectual property (IP) of either party remains its sole property.
- Custom deliverables developed specifically for the Client may be assigned upon full payment, subject to a separate IP assignment agreement if required.
- Until full payment, the Company retains all rights to deliverables, granting the Client a limited, non-exclusive license for internal use only.
- Confidentiality
Both parties agree to maintain the confidentiality of all non-public information exchanged during the engagement and to use such information solely for the purposes of the project. This obligation survives termination of the agreement. - Support and Maintenance
Post-delivery support (e.g., bug fixes, system monitoring) is provided only if included in the SOW or under a separate maintenance agreement. Standard support hours are Monday–Friday, 9:00 AM – 6:00 PM (GMT+0), excluding public holidays. - Refund Policy
Refunds are governed by the Company’s Refund Policy, which complies with the Supply of Services (Implied Terms) Ordinance (Cap. 457) of Hong Kong. Key provisions include:
- No automatic refunds for bespoke services.
- Cancellation before work begins: refund of deposit less ≤10% admin fee.
- Cancellation after work begins: Client liable for all incurred costs; no refund for completed/partial work.
- Non-refundable items: third-party costs (licenses, hosting, domains), travel expenses, and fees for completed advisory sessions.
- Defective deliverables may be re-performed or eligible for proportionate refund if they materially fail to meet the standard of “reasonable care and skill” under Hong Kong law.
- All refund requests must be submitted in writing to info@gsctechno.com with supporting details.
- Limitation of Liability
- The Company’s total liability under any claim related to services shall not exceed the total fees paid by the Client for the specific service in question.
- In no event shall the Company be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility thereof.
- Term and Termination
- Either party may terminate the agreement with 30 days’ written notice.
- Upon termination, the Client shall pay for all services rendered and expenses incurred up to the termination date.
- Sections on Confidentiality, IP, Liability, Governing Law, and Payment Obligations shall survive termination.
- Force Majeure
The Company is not liable for delays or failures in performance due to causes beyond its reasonable control, including but not limited to: natural disasters, pandemics, war, government actions, cyberattacks, or third-party service outages. - Governing Law and Dispute Resolution
These Terms and all related matters shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the Hong Kong courts. - Entire Agreement and Amendments
These Terms, together with the SOW, Privacy Policy, and Refund Policy, constitute the entire agreement between the parties. No amendment is valid unless made in writing and signed by authorized representatives of both parties.
